Terms of Service

1. Acceptance of Terms

These Terms of Service govern your access to and use of the website, products, and services provided by CodeIT Systems Uganda ("CodeIT", "we", "us", or "our"). By using our website or services, you agree to comply with these terms. If you do not agree to these terms, please do not use our website or services.

2. Services

CodeIT provides information technology services including but not limited to:

• IT consulting and advisory services
• Custom software and web application development
• ERP and management information systems
• Network design, installation, and maintenance
• Cloud services and migration
• Cybersecurity assessments and solutions
• E-commerce platform development
• Managed IT support and maintenance

Specific terms for each service will be outlined in a separate service agreement or contract between CodeIT and the client.

3. Use of the Website

You agree to use our website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the website. Prohibited behavior includes:

• Harassing or causing distress or inconvenience to any other user
• Transmitting obscene or offensive content
• Disrupting the normal flow of dialogue within our website
• Attempting to gain unauthorized access to our systems or data

4. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, icons, images, and software, is the property of CodeIT Systems Uganda or its content suppliers and is protected by intellectual property laws. Unless otherwise agreed in a specific service contract, custom software and deliverables developed by CodeIT for clients remain the intellectual property of the client upon full payment, subject to CodeIT retaining the right to use general methodologies and frameworks developed during the project.

5. Service Agreements and Payment

For clients engaging our services, the following payment terms apply unless otherwise agreed in writing:

• Project-based work: A deposit of 50% is required before work begins, with the balance due upon completion or as specified in the project contract.
• Monthly managed services: Invoices are issued monthly and are payable within 14 days of the invoice date.
• Late payments may incur a service charge of 2% per month on the outstanding balance.
• All fees are quoted in Ugandan Shillings (UGX) unless otherwise agreed.

6. Limitation of Liability

To the fullest extent permitted by law, CodeIT Systems Uganda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on the services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall CodeIT's total liability to you for all claims exceed the amount you have paid to CodeIT in the twelve (12) months preceding the event giving rise to the liability.

7. Warranty and Support

CodeIT warrants that all services will be performed in a professional and workmanlike manner. For custom software projects, we provide a warranty period of 30 days from the date of delivery during which we will fix any defects in the deliverables at no additional cost. Managed IT support services are subject to the Service Level Agreement (SLA) specified in the client's contract.

8. Termination

Either party may terminate a service agreement with 30 days' written notice. CodeIT reserves the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, all provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.

10. Changes to These Terms

We may modify these Terms at any time by posting the revised terms on this website. Your continued use of our services after any changes indicates your acceptance of the new terms. We encourage you to review these Terms periodically.
